Welcome to For Goodness Sake Foundation.

These Terms of Service ("Terms") govern your access to and use of the For Goodness Sake Foundation website, online store, products, services, and related features (collectively, the "Services").

By accessing our website, creating an account, placing an order, donating merchandise, or otherwise using our Services, you agree to be bound by these Terms.

Please read them carefully.

1. About For Goodness Sake Foundation

For Goodness Sake Foundation ("FGS," "we," "us," or "our") is a nonprofit organization operating a resale platform through which donated merchandise is sold to generate funding in support of charitable organizations and the mission and operations of For Goodness Sake Foundation.

Our model is designed to extend the useful life of quality goods while transforming donated merchandise into meaningful charitable impact.

Purchasing from FGS is a retail transaction. Although proceeds from merchandise sales support charitable purposes, the purchase price paid for merchandise is generally not itself a charitable contribution by the purchaser.

2. Eligibility to Use Our Services

By using our Services, you represent that you are legally capable of entering into a binding agreement.

If you use our Services on behalf of an organization, business, or other entity, you represent that you have authority to bind that entity to these Terms.

3. Merchandise

FGS primarily offers donated merchandise, which may include new, new-with-tags, pre-owned, vintage, designer, luxury, and other goods.

Because many items are donated and may be unique, quantities are generally limited and merchandise may not be restocked.

We make reasonable efforts to accurately describe each item, including its brand, size, condition, materials, characteristics, and known imperfections.

However, photographs, measurements, colors, descriptions, and other information are provided to assist customers and may not always perfectly represent an item's appearance or characteristics.

Pre-owned and vintage merchandise may show signs of age, storage, handling, previous ownership, or wear consistent with its stated condition.

Customers are responsible for reviewing the complete product description, photographs, measurements, condition information, and other available details before purchasing.

4. Luxury Merchandise & Authenticity

FGS takes the authenticity of luxury merchandise seriously.

Eligible luxury merchandise is authenticated before being offered for sale using authentication procedures appropriate to the item. Authentication may include professional review, examination of identifying characteristics and, when applicable, third-party authentication technology or services such as Entrupy.

FGS may maintain photographs, serial numbers, date codes, identifying characteristics, authentication information, and other records associated with an item.

If FGS determines that an authentication error has occurred, we will work promptly with the purchaser to address the matter.

5. FGS Inventory ID & Authentication Security Seal

FGS may assign merchandise a unique FGS Inventory ID for inventory management, authentication, transaction tracking, stewardship, and chain-of-custody purposes.

Eligible items may also be shipped with an FGS Authentication Security Seal bearing or corresponding to the item's unique FGS Inventory ID.

The Inventory ID and Authentication Security Seal help FGS verify that merchandise returned to us is the same item originally sold and shipped.

Customers must not remove, cut, alter, replace, transfer, substitute, or tamper with an FGS Authentication Security Seal if they may wish to return the merchandise.

Removal or alteration of the FGS Authentication Security Seal may make an item ineligible for return in accordance with our Return Policy.

6. Pricing

All prices are displayed in the currency indicated on the website and are subject to change without notice.

FGS reserves the right to correct pricing, typographical, listing, or other errors.

If an item is inadvertently listed at an incorrect price or with materially incorrect information, FGS may cancel the transaction and issue a refund.

From time to time, certain donated merchandise may be subject to pricing parameters or other resale conditions established in connection with the donation or acceptance of the merchandise. FGS reserves the right to establish, maintain, or adjust pricing consistent with those arrangements.

7. Orders

Submitting an order does not guarantee acceptance.

FGS reserves the right to accept, decline, limit, or cancel an order when reasonably necessary, including in cases involving:

• Pricing or listing errors;
• Suspected fraud or unauthorized transactions;
• Payment problems;
• Inventory discrepancies;
• Authentication concerns;
• Shipping restrictions; or
• Violations of these Terms.

If we cancel an order after payment has been processed, we will issue an appropriate refund.

8. Payment

Customers agree to provide current, complete, and accurate billing and payment information.

Payment processing may be performed by third-party payment providers. Your use of those payment services may also be subject to the provider's applicable terms and privacy practices.

You represent that you are authorized to use the payment method submitted for your purchase.

9. Taxes

Applicable sales taxes and other legally required charges may be collected at checkout based on the transaction, merchandise, purchaser's location, and applicable law.

10. Shipping & Delivery

Customers are responsible for providing complete and accurate shipping information.

FGS is not responsible for delays caused by carriers, weather, natural disasters, incorrect customer-provided addresses, customs, or circumstances outside our reasonable control.

Risk associated with delivery may be subject to applicable law and carrier terms.

Customers should promptly contact FGS Customer Care regarding merchandise that arrives damaged or when a shipment appears to have been lost or misdelivered.

11. Returns & Refunds

Returns are governed by the For Goodness Sake Foundation Return Policy, which is incorporated into these Terms by reference.

Unless otherwise stated for a particular item, return requests must be submitted within 14 calendar days of delivery.

Once an approved return has been authorized, the merchandise must be shipped back within 5 business days using the return instructions provided by FGS.

Returned merchandise must satisfy all eligibility requirements contained in our Return Policy.

For eligible items shipped with an FGS Authentication Security Seal, the original seal must remain fully attached and unaltered, and the Inventory ID must correspond to the item originally purchased.

Refunds are issued only after returned merchandise has been received, inspected, and, when applicable, authenticated and verified as the same merchandise originally shipped.

12. Final Sale & Non-Returnable Merchandise

Certain merchandise may be designated Final Sale or otherwise identified as non-returnable.

Any applicable final-sale designation will be disclosed on the product listing or at the time of purchase.

Items may also become ineligible for return under the circumstances described in our Return Policy, including removal or tampering with an applicable FGS Authentication Security Seal.

13. Donations of Merchandise

FGS may accept merchandise from individuals, retailers, designers, brands, corporations, estates, stylists, and other donors.

Acceptance of merchandise is subject to FGS gift-acceptance policies, donation documentation, and any applicable written agreement between FGS and the donor.

FGS reserves the right to decline merchandise that is inconsistent with its mission, quality standards, legal obligations, resale requirements, authentication standards, or operational needs.

Unless otherwise established in applicable donation documentation or a written agreement, acceptance of merchandise does not guarantee that a particular item will be listed for sale, sold at a particular price, or sold within a particular period.

14. Charitable Purpose & Designation

FGS uses proceeds generated through its resale activities to advance its charitable mission, support participating charitable organizations, and sustain the operations necessary to carry out that mission.

Where FGS permits a donor or transaction to be associated with a participating charitable organization or charitable purpose, such designation is administered in accordance with FGS policies and applicable law.

FGS retains the discretion and control required of a charitable organization over its funds and charitable activities.

Nothing on the website should be interpreted as creating a trust, agency relationship, ownership interest, or direct entitlement to sale proceeds unless expressly provided in a separate written agreement.

15. Charitable Contributions & Tax Information

Information provided by FGS concerning charitable giving or tax matters is provided for general informational purposes and should not be considered individualized legal, accounting, or tax advice.

The tax treatment of donated merchandise depends upon the donor's circumstances, the nature of the property, applicable law, and other factors.

Donors should consult their own qualified tax or legal advisors regarding deductibility, valuation, substantiation, and reporting requirements.

FGS does not guarantee any particular tax deduction, tax treatment, or valuation.

16. Product Images & Content

Unless otherwise indicated, the website and its content—including FGS-created photography, graphics, logos, text, designs, branding, videos, and other materials—are owned by or licensed to For Goodness Sake Foundation and are protected by applicable intellectual property laws.

FGS product photography and listing content may not be copied, reproduced, republished, distributed, commercially exploited, or used to create fraudulent or unauthorized listings without permission.

17. Trademarks & Third-Party Brands

All third-party brand names, trademarks, logos, and product names appearing on the website remain the property of their respective owners.

References to third-party brands are used for identification and description of merchandise.

Unless expressly stated otherwise, the sale of donated or pre-owned merchandise bearing a third-party trademark does not imply sponsorship, endorsement, affiliation, partnership, or authorization by the trademark owner.

18. Prohibited Uses

You may not use the FGS website or Services:

• For unlawful, fraudulent, or deceptive purposes;
• To purchase merchandise using unauthorized payment information;
• To engage in return fraud or merchandise substitution;
• To manipulate, transfer, replace, counterfeit, or tamper with an FGS Authentication Security Seal or Inventory ID;
• To impersonate another person or organization;
• To interfere with the security or operation of the website;
• To introduce malicious code or harmful technology;
• To scrape, harvest, or misuse website data in violation of applicable law;
• To reproduce FGS content for unauthorized commercial purposes; or
• To engage in conduct that infringes the rights of FGS or another party.

FGS may restrict or terminate access to its Services when it reasonably believes these Terms have been violated.

19. Fraud Prevention

FGS reserves the right to use reasonable fraud-prevention and merchandise-verification measures to protect our customers, donors, charitable partners, merchandise, and organization.

These measures may include review of transaction information, inventory records, product photographs, authentication records, serial numbers, identifying characteristics, FGS Inventory IDs, and Authentication Security Seals.

Suspected fraudulent activity may result in cancellation of an order, denial of a return, restriction of account access, or other action permitted by law.

20. Website Availability

We work to keep our website and Services available and accurate, but we cannot guarantee uninterrupted or error-free access.

FGS may modify, suspend, update, or discontinue portions of the website or Services when reasonably necessary.

21. Third-Party Services & Links

Our website may contain links to or integrate with third-party websites, payment processors, authentication providers, shipping carriers, social media platforms, or other services.

FGS does not control those third-party services and is not responsible for their independent content, availability, terms, or privacy practices.

22. Privacy

Your use of our Services is also subject to the For Goodness Sake Foundation Privacy Policy.

Please review that policy to understand how personal information may be collected, used, stored, and disclosed.

23. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the website, Services, and merchandise are provided on an "as available" and, where legally permissible, "as is" basis, subject to any express representations made by FGS and rights that cannot legally be waived.

Nothing in these Terms excludes warranties, guarantees, or consumer rights that cannot be excluded under applicable law.

24. Limitation of Liability

To the fullest extent permitted by applicable law, For Goodness Sake Foundation and its directors, officers, employees, volunteers, representatives, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the website, Services, or merchandise.

Nothing in these Terms limits liability where doing so would be prohibited by applicable law.

25. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless For Goodness Sake Foundation and its directors, officers, employees, volunteers, representatives, and agents from claims, liabilities, damages, and reasonable expenses arising from your unlawful use of the Services, violation of these Terms, or infringement of another party's rights.

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles, except where applicable federal or other law requires otherwise.

FGS may update these Terms from time to time to reflect changes in our operations, Services, policies, or legal requirements.

The updated Terms will be posted on our website with a revised "Last Updated" date.

Continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

28. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

29. Entire Agreement

These Terms, together with our Privacy Policy, Return Policy, and any other policies or agreements expressly incorporated by reference, constitute the agreement governing use of our Services, except where a separate written agreement between FGS and another party expressly provides otherwise.
